The current board of directors of the Bulgarian Athletics Federation (BAFF) has not fulfilled its legal obligation to convene a new extraordinary meeting after the illegitimate one on 01.08.2025, as requested by over one-third of the clubs in the country, and has been totally inactive in this regard, but there will be an extraordinary meeting and it will be held, thanks to the efforts and activity of a large number of clubs and after a court order.
This is revealed by the athletic clubs-initiators of the upcoming General Meeting of the Bulgarian Athletics Federation, which will be held on 08.11.2025, at 14.30, in the event hall “St. George“ on “Nikola Vaptsarov“ Blvd. 47 in Sofia.
The meeting on November 8 is convened following a court order (Decision No. 1345 of 29.09.2025 on case No. 1803/2025 of the Sofia City Court, issued on the basis of Art. 26, para. 1 and para. 3 of the Law on Non-Profit Legal Entities, in connection with Art. 31 and Art. 33 of the Statute of the Bulgarian Athletics Federation).
The court has established that there is a written request from more than one-third of all athletics clubs in Bulgaria (over 44 out of a total of 126 clubs in the Bulgarian Athletics Federation), and the current management of the federation has remained silent and deaf, has been inactive and has practically not fulfilled its legal obligation to comply with the clubs' request and has even waived its right to convene an extraordinary general meeting. assembly.
Because of this waiver of the right of this management, according to the court decision and art. 32 of the Statute of the Bulgarian Athletics Federation, the initiator clubs are now charged with the organization and conduct of the extraordinary general meeting.
All decisions and actions of the current management of the Bulgarian Athletics Federation since August 1 are illegal and illegitimate, which creates serious obstacles to the activities of the federation, the clubs-initiators of the meeting tomorrow remind us.
The reason - the old Board of the headquarters was dismissed on 01.08.2025, but the new one was not registered, due to the illegitimate nature of the then general meeting, held by the current management with serious violations and defects of procedures and norms.
The purpose of the extraordinary General Meeting, which will be held tomorrow, 08.11.2025, is to restore the legality and functionality of the governing bodies of the Bulgarian Athletics Federation, as well as to ensure transparent and democratic management in accordance with with Art. 2 and Art. 6 of the Statute of the Bulgarian Athletics Federation, the organizers inform.
Unlike the previous fiasco meeting on August 1, for which the current illegitimate leadership of the Athletics Federation is responsible, at tomorrow's extraordinary meeting its bodies - management and control bodies, chairman, secretary, minutes takers, tellers, etc., will be elected, and not “appointed“, as practiced by the current Board.
According to the court decision, the Bulgarian Athletics Federation meeting on November 8, 2025 will be administered by the initiator clubs and aims to:
● To restore legal certainty and continuity in the activities of the
Federation;
● To provide an opportunity to all regular clubs – members to participate in the
democratic election of a new Board of Directors;
● To eliminate the state of legal uncertainty resulting from the fact that
the old Board of Directors has been dismissed, and the new one has not been entered in the Commercial
Register and the Register of Non-Profit Legal Entities.
The registration of delegates will take place on site, on the day of the meeting - November 8, 2025 (Saturday), from 1:30 p.m. to 2:15 p.m., in the presence of the initiating clubs and a notary.
The meeting will be opened by a representative of the initiative committee, determined in accordance with the court decision.
All decisions will be adopted in accordance with Art. 36 of the Statute of the Bulgarian Football Association – by a simple majority (more than 50% + 1 vote) of the delegates present, unless the law or the statutes require otherwise.
Agenda:
1. Election of the chairman, the recorder and the tellers of the meeting;
2. Election of the election commission and the tellers of the ballots;
3. Dismissal of the members of the Management Board and election of a new Management Board of the Federation.
According to Art. 30 of the Law on Non-Profit Legal Entities (LPLE) and the statutes of the Bulgarian Federation of Bulgarian Associations, all members of the Management Board of the Federation are elected individually and by name.
They are considered elected if they receive 50% plus one vote.
